Contractual provisions

This EULA concerns the granting of a license for the software product to be used by you as well as any related online services by Goversoft.

Definition

Goversoft – refers to Goversoft LLC, with its registered office at 16192 Coastal Hwy, Lewes, DE 19958, US and all other companies of the group in France.

1. SOFTWARE LICENSE AGREEMENT

BY SELECTING THE ACCEPT OPTION BELOW, OR BY INSTALLING, COPYING OR USING THE ACCOMPANYING SOFTWARE (PrivaZer) YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY) AGREE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM AND AGREE TO BE LEGALLY BOUND BY THEM.

Goversoft permits you to use the SOFTWARE only in accordance with the terms of this License and your rights under this License will terminate automatically without notice if you fail to comply with the terms of this License. Should your rights under this License terminate for any reason you must immediately cease all further use of the SOFTWARE and destroy all copies of it.

2. WARRANTY DISCLAIMER

Goversoft expressly disclaims any warranty for the SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,OR NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.

3. LICENSE TYPES

3.a FREE VERSION LICENSE

A FREE VERSION License is granted to you without charge when you download or install a free version or an evaluation version of the SOFTWARE. You are granted a non-exclusive and non-transferable license to use the SOFTWARE. Goversoft reserves all rights not expressly granted to you.

3.b "PRO VERSION" VERSION LICENSE

A "PRO" VERSION License is granted to you only if you buy a commercial version of PrivaZer (Pay What You Want pricing, $10 minimum contribution per device). You are granted a non-exclusive and non-transferable license to use the SOFTWARE. Goversoft reserves all rights not expressly granted to you.

4. LIMITATION OF LIABILITY

IN NO EVENTS, WILL GOVERSOFT, LICENSEES, ITS DISTRIBUTORS OR SUPPLIERS BE LIABLE TO YOU FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES, INCLUDING, BUT NOT LIMITED TO LOSS OF REVENUE OR PROFIT, LOST OR DAMAGED DATA OR OTHER COMMERCIAL OR ECONOMIC LOSS, ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SOFTWARE OR RELATED DOCUMENTATION, EVEN IF GOVERSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GOVERSOFT, ITS LICENSEES, DISTRIBUTORS AND SUPPLIERS SHALL IN NO EVENT BE LIABLE FOR ANY DAMAGES ARISING FROM PERFORMANCE OR NON-PERFORMANCE OF THE SOFTWARE. OUR MAXIMUM LIABILITY TO YOU FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER SHALL IN NO EVENT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE AND A MAXIMUM OF $1 IN ANY EVENT, GOVERSOFT'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS END USER LICENSE AGREEMENT SHALL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT.

The limited warranties provided in the preceding paragraphs are the only warranties of any kind which are made by Goversoft on the SOFTWARE. No oral or written information or advice given by Goversoft, its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of the foregoing limited warranty and you may not rely on any such information or advice.

Some states or countries do not allow the exclusion of implied warranties, so the above exclusion may not apply to you and you may have other rights, which may vary from state to state. If your state or country do not allow the exclusion of implied warranties, do not install or use Privazer. Goversoft reserves all rights not expressly granted here.

5. GENERAL RESTRICTIONS

GENERAL RESTRICTIONS apply for all licenses:

  • You may NOT reverse engineer, decompile or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
  • You may NOT resell, charge for, sub-license, rent, lease, loan or distribute the SOFTWARE without our prior written consent. We reserve the right to withdraw any such consent (or part thereof) for any reason and without notice and to demand that you immediately cease any activity in respect of which permission is withdrawn.
  • You may NOT repackage, translate, adapt, vary, modify, alter, create derivative works based upon, or integrate any other computer programs with, the SOFTWARE in whole or in part.
  • You may NOT transfer or assign your rights or obligations under this License to any person or authorize all or any part of the SOFTWARE to be copied on to another user's computer.
  • You may NOT use the SOFTWARE to engage in or allow others to engage in any illegal activity.
  • You may NOT use the SOFTWARE to delete traces of any unauthorized activity (e.g. deletion of files in violation of a copyright or for any illegal purpose).

6. GENERAL

The license will terminate immediately without notice if you are in breach of any of its terms and conditions. You shall not be entitled to a refund from Goversoft as a result of termination. The terms and conditions concerning confidentiality and restrictions on use shall continue to be in force even after any termination.

Goversoft may revise these Terms at any time and the revised terms shall automatically apply to the corresponding versions of the SOFTWARE distributed with the revised terms.

If any part of these Terms is found void and unenforceable, it will not affect the validity of the rest of the Terms, which shall remain valid and enforceable according to its terms.

In case of controversy or inconsistency between translations of these Terms to other languages, the english version issued by Goversoft shall prevail.

This License is the entire agreement between you and us and supersedes any prior representations, undertakings or advertising relating to the SOFTWARE and you acknowledge that in entering into this License you have not relied on any statement, representation, advertising, assurance or warranty (whether made negligently or innocently) other than as expressly set out in this License.

This License may only be varied in writing and signed by an authorized representative of Goversoft. Updates may be licensed to you by Goversoft with additional or different terms but Goversoft has no obligation to provide any updates.

7. COPYRIGHT

The SOFTWARE is protected by copyright law and international treaty provisions. You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you. You further acknowledge that title and full ownership rights to the SOFTWARE will remain as the exclusive property of Goversoft and you will not acquire any rights to the SOFTWARE.

8. LAW AND JURISDICTION

This License and any dispute or claim arising out of or in connection with it or its subject matter or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with US law and submitted to the non-exclusive jurisdiction of the US courts.
